1. About these terms

These Terms of Service ("Terms") form a binding agreement between you and SiloLobby Limited ("SiloLobby", "we", "us"). They apply every time you create an account, place an order, renew a service, fund a wallet, register or transfer a domain, or use our website, control panels, support desk or live chat.

By creating an account or paying for any service you confirm that you have read these Terms, that you accept them, and that you are legally able to enter into a contract. If you are buying for a business, you confirm that you have authority to bind that business.

2. Definitions

In these Terms the following words have these meanings:

  • Service: any hosting plan, cloud server, reseller account, domain, add-on, WordPress plan or other product we sell.
  • Order: a request for one or more Services, which becomes a contract when payment is confirmed.
  • Invoice: a statement of amounts due for a Service, including order, renewal and manual invoices.
  • Wallet: the naira or dollar balance held on your account, funded by card payment or bank transfer.
  • Provisioning: the automated or manual steps that set up a Service after payment.
  • Content: all files, databases, email, websites and other data you store or transmit using a Service.

3. Accounts and security

You must give accurate and up-to-date information when you register, including your name, email address and billing details. You must keep your password confidential and are responsible for all activity on your account.

Tell us immediately at support@silolobby.com if you believe your account has been accessed without permission. We may ask you to reset your password, verify your identity or enable additional security. We may suspend an account that we reasonably believe is compromised, is being used fraudulently or is in breach of these Terms, and we will tell you as soon as reasonably practical.

Each person may hold one customer account unless we agree otherwise in writing. Shared or business accounts must be managed by an authorised person.

4. Our services

We provide shared hosting, cloud virtual servers (VPS), reseller hosting, WordPress hosting, domain registration, transfers and renewals, add-on products and technical support. The features of each plan are those listed on the plan page at the time you order, and they are part of your contract.

We may improve, change or retire features from time to time. We will not materially reduce the features of a Service you have paid for during its current billing period. If we must retire a product, we will give you reasonable notice and help you move or cancel.

5. Orders, activation and provisioning

An order is accepted when payment for the first invoice is confirmed. We may refuse or cancel an order before that point, for example where we cannot verify your details, where a product is unavailable, or where we suspect fraud. If we cancel after payment, we will refund the amount paid in full.

Most services are activated automatically within minutes of payment. Some services, such as custom VPS configurations, domain registrations with third-party registries and manually fulfilled add-ons, may take longer. We will tell you the expected time on the order page and keep you informed by email.

6. Prices, currencies and taxes

Prices are shown in Nigerian naira (NGN) and US dollars (USD). Naira is our primary currency. Where a dollar price is shown it is converted at the rate we set and displayed at checkout, and the amount you are charged is the amount on your invoice.

Prices exclude any taxes or levies that apply by law, which will be shown separately where required. Promotional prices, such as first-order discounts, apply only for the period stated and to the eligible plan. We may change our prices, but a price change will not affect an existing billing period. Renewals are charged at the price on the plan at renewal, and we will notify you in advance of any increase.

7. Invoices, payments and your wallet

We issue an invoice for each order and each renewal. Invoices state the due date, the services covered and the amount payable. You can pay an invoice by card, by bank transfer to your dedicated account number, or from your wallet balance, where these options are offered for your currency.

Card payments are processed by licensed third-party payment providers. We do not store your full card number. Some card payments require verification such as 3-D Secure, and the bank or provider may decline a payment for reasons outside our control.

If we receive a payment that does not match an open invoice, we will credit it to your wallet. Wallet balances do not earn interest, can be used only on our services unless we agree otherwise, and are refundable as described in our Refund Policy. Wallet funds are not a deposit and do not expire while your account remains open.

If a payment fails, is reversed, or is disputed through a chargeback, we may suspend the related Service until the amount is settled, and we may charge reasonable administrative costs where the law allows.

8. Renewals, suspension and termination

Services renew automatically at the end of each billing cycle by issuing a renewal invoice. If the renewal is paid from your wallet, the Service continues without interruption. If it is not paid by the due date, the Service is marked past due and we will send reminders.

If an invoice remains unpaid after the grace period set out in our billing settings, we may suspend the Service. A suspended Service stops serving your website, email and databases, but your Content is kept. If the Service remains suspended for the period set out in our billing settings, we may terminate it and delete the Content. We will always send notice before termination.

You may cancel a Service at any time from your account or by contacting support. Cancellation stops future renewals but does not refund a billing period already paid, except as set out in our Refund Policy. Deleting a Service does not remove obligations that have already arisen, such as unpaid invoices.

We may suspend or terminate a Service immediately, without notice where necessary, if continued provision would breach these Terms or the law, expose us or other customers to security risk, or cause serious harm to our infrastructure.

9. Domain names

Domain names are registered with the relevant registry, for example through the Nigeria Internet Registration Association (NiRA) for .ng extensions, or through an accredited registrar for other extensions. Registration is subject to that registry's policies, which apply in addition to these Terms.

You must provide accurate registrant information and keep it up to date. Where a registry requires verification of your details, you must complete it promptly, or the domain may be suspended or deleted by the registry. You are responsible for renewing your domain before it expires, although we will send reminders.

Domain transfers, locks, renewals and expiry follow the rules of the relevant registry. Some registries apply grace or redemption periods, and fees for these periods are not refundable. We cannot guarantee the availability of a particular domain name until the order is confirmed.

10. Acceptable use

You must use our Services lawfully and in line with our Acceptable Use Policy, which forms part of these Terms. Breach of the Acceptable Use Policy is a breach of these Terms.

11. Your content and responsibilities

You own your Content and are responsible for it, including its legality, accuracy and the rights needed to publish it. We do not monitor Content as a matter of routine, but we may investigate reports of abuse and may remove or disable access to Content that breaches these Terms or the law.

You grant us a limited licence to host, store, copy and process your Content solely to provide the Services to you. This licence ends when you delete the Content or the Service, subject to our backup and retention periods.

You are responsible for keeping your own copies of important Content. Where a plan includes backups, we make them as described in the Service Level Agreement, but backups are a safety net and not a substitute for your own archive.

12. Availability and support

We aim to keep our Services available and to respond to support requests promptly. Our targets for availability, maintenance and support response, and the remedies that apply if we miss them, are set out in our Service Level Agreement, which forms part of these Terms.

Support is provided by ticket and live chat through your account and the website. Support is for technical and billing questions about the Services we provide. It does not include building or designing your website or application, unless you buy a service that says so.

13. Intellectual property

Our website, brand, software, control panels and documentation belong to us or our licensors. You may use them only as needed to use the Services. You may not copy, reverse engineer, resell or create derivative works from them, except as expressly allowed by law or in writing by us.

Third-party software included in a Service, such as control panels, remains subject to the licence terms of its owner, and you must comply with them.

14. Confidentiality

Each party will keep confidential any non-public information received from the other that is marked or would reasonably be regarded as confidential, and will use it only for the purposes of the Services. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law or a regulator.

15. Privacy and data protection

We process personal data in accordance with the Nigeria Data Protection Act 2023 and our Privacy Policy, which explains what we collect, why, and the rights you have. Where you store personal data of other people using our Services, you are responsible for having a lawful basis for that processing and for any notices required by law.

16. Warranties and disclaimers

We provide the Services with reasonable care and skill and in line with the features described on the plan page. Except where the law does not allow us to exclude a warranty, we do not promise that the Services will be uninterrupted, error-free or fit for a particular purpose beyond what is described, or that Content will never be lost or corrupted.

Nothing in these Terms excludes or limits any right you have under the Federal Competition and Consumer Protection Act 2018 or any other law that cannot be excluded.

17. Limitation of liability

To the extent permitted by law, our total liability arising out of or in connection with these Terms or the Services in any 12-month period is limited to the amount you paid us for the affected Service in that period.

We are not liable for indirect, consequential or special loss, loss of profit, revenue, goodwill or business opportunity, or loss of data arising from your failure to keep backups, unless the law makes us liable. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under the law.

18. Indemnity

You agree to indemnify us against losses, claims and reasonable costs that arise from your Content, your breach of these Terms or the Acceptable Use Policy, or your infringement of another person's rights.

19. Events outside our control

We are not liable for delay or failure caused by events beyond our reasonable control, including power outages, failures of public networks or submarine cables, natural disasters, fire, war, civil unrest, government action, epidemics, or failures of third-party infrastructure or payment networks. We will work to restore the Services as quickly as reasonably possible.

20. Changes to these Terms

We may update these Terms from time to time. We will publish the new version on this page, change the date at the top, and where a change materially affects you we will tell you by email before it takes effect. If you do not agree to a change, you may cancel the affected Services before it applies. Continuing to use the Services after the change takes effect means you accept it.

21. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, please contact us first at support@silolobby.com so we can try to resolve it. If we cannot resolve it within 30 days, either party may refer the dispute to the courts of competent jurisdiction in Nigeria. Nothing in this section stops you from complaining to a consumer protection body or regulator.

22. General

These Terms, the Acceptable Use Policy, the Refund Policy, the Service Level Agreement, the Privacy Policy and the Cookie Policy together form the entire agreement between us about the Services. If any provision is found to be unenforceable, the rest remains in effect. A failure by us to enforce a right is not a waiver of that right. You may not assign your rights under these Terms without our written consent. We may assign our rights to a successor of our business with notice to you.

We may send notices to the email address on your account or through your account dashboard. Notices sent by email are treated as received when sent, unless we receive a message that the email was not delivered.
